1Acceptance of Terms
By accessing or using Mowly's services (the "Services"), including our web platform at www.mowly.ai/app, Microsoft Word Add-in, Microsoft Outlook Add-in, and any associated APIs or applications, you agree to be bound by these Terms of Service ("Terms"). If you are accepting these Terms on behalf of a legal entity (such as a law firm or company), you represent and warrant that you have the authority to bind that entity. If you do not agree to these Terms, you must not access or use the Services. These Terms constitute a legally binding agreement between you ("User", "you", or "your") and Mowly, Lda. ("Mowly", "we", "us", or "our"), a company incorporated and registered in Portugal.
2Definitions
For the purposes of these Terms, the following definitions apply:
- "Services" means all products, features, and functionalities provided by Mowly, including the web platform, Microsoft Office Add-ins, APIs, and any future products or services
- "Platform" means the Mowly web application accessible at www.mowly.ai/app
- "Add-ins" means the Mowly extensions for Microsoft Word and Microsoft Outlook
- "User Content" means any data, text, documents, or other materials that you submit, upload, or transmit through the Services
- "AI Output" means any text, analysis, summary, translation, or other content generated by the Services' artificial intelligence features
- "Subscription" means the paid plan you select to access premium features of the Services
- "Credits" means the usage units allocated to your account based on your Subscription plan
- "Confidential Information" means any non-public information disclosed by either party, including business data, technical specifications, and user data
- "Data Processing Agreement" or "DPA" means the agreement governing our processing of personal data on your behalf
- "Applicable Law" means all applicable laws, regulations, and directives, including GDPR, the Portuguese Data Protection Law, and the EU AI Act
3Description of Services
Mowly provides an AI-powered legal technology platform designed for legal professionals. The Services include, but are not limited to:
- Legal research: AI-enhanced search across case law, legislation, and legal doctrine from multiple jurisdictions, with structured results and source citations
- Document analysis: AI-powered document summarization, comparison, clause analysis, compliance checking, and risk assessment tools
- Document production: Legal opinion generation (Parecer Express), document drafting assistance, and template management
- Document processing: Legal translation, pseudonymization of personal data, audio transcription of legal proceedings
- Microsoft Office integration: Word Add-in for in-document legal research, drafting, and analysis; Outlook Add-in for professional email assistance
- Collaboration features: Project management, document organization, and team workspace capabilities for law firms and legal departments
4Account Registration and Security
To access the Services, you must create an account. You agree to:
- Provide accurate, current, and complete registration information, including your full legal name, professional email address, and firm or company affiliation where applicable
- Maintain the security and confidentiality of your account credentials. You are solely responsible for all activities that occur under your account
- Promptly notify Mowly of any unauthorized access to or use of your account at security@mowly.com
- Not share your account credentials with third parties or allow others to access your account. Each Subscription is personal to the registered user unless an enterprise license provides otherwise
- Ensure you are at least 18 years of age and a qualified legal professional or authorized by a legal professional to use the Services in a professional capacity
5Subscriptions, Billing, and Payment
Access to premium features requires a paid Subscription. The following terms apply to all Subscriptions:
- Plans and pricing: Mowly offers multiple Subscription plans (Starter, Professional, Enterprise) with varying features and Credit allocations. Current pricing is displayed on our website and may be updated with 30 days' prior notice
- Billing cycles: Subscriptions are billed either monthly or annually, as selected at the time of purchase. Annual subscriptions offer a discount equivalent to two months free
- Payment processing: Payments are processed securely through our PCI-DSS Level 1 certified payment processor (Stripe). We do not store or have access to your full credit card numbers
- Credits: Each plan includes a monthly allocation of Credits. Credits are consumed when using AI-powered features. Unused Credits do not roll over to the following billing period
- Free trial: New users may be offered a limited free trial. At the end of the trial period, continued access to premium features requires a paid Subscription
- Price changes: We reserve the right to modify pricing with at least 30 days' advance notice. Price changes will take effect at the start of the next billing cycle following the notice period
- Refunds: Refunds are available within 14 days of initial purchase for annual plans if no significant usage has occurred. Monthly plans are non-refundable. Enterprise plans are subject to individual agreement terms
6Intellectual Property Rights
The intellectual property rights in the Services are distributed as follows:
- Mowly's IP: The Services, including all software, algorithms, user interfaces, designs, trademarks, trade names, and documentation, are and remain the exclusive property of Mowly, Lda. or its licensors. Nothing in these Terms transfers any ownership rights to you
- Open-source components: The Services may incorporate open-source software components, which are subject to their respective licenses. A list of open-source components and their licenses is available upon request
- Legal data sources: Case law, legislation, and other legal data provided through the Services are sourced from publicly available databases and official publications. Mowly does not claim ownership over this public legal information
- Feedback: If you provide suggestions, ideas, or feedback about the Services, you grant Mowly a non-exclusive, worldwide, royalty-free license to use, modify, and incorporate such feedback into the Services without any obligation to you
- Restrictions: You may not reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Services, except as expressly permitted by applicable law
7User Content and AI Output
Regarding content you submit and content generated by the Services:
- Ownership of User Content: You retain all intellectual property rights in User Content that you submit to the Services. By submitting User Content, you grant Mowly a limited, non-exclusive license to process such content solely for the purpose of providing the Services
- AI Output ownership: You own the AI Output generated from your User Content and prompts, subject to any limitations of applicable intellectual property law regarding AI-generated content. Mowly does not claim ownership of AI Output
- Temporary processing: User Content submitted for AI processing (analysis, summarization, translation, etc.) is processed temporarily and automatically deleted after the requested operation is complete. We do not permanently store your document content on our servers
- No training on your data: Mowly does not use your User Content or AI Output to train, fine-tune, or improve AI models. Your data is never shared with AI providers for training purposes
- Responsibility for content: You are solely responsible for the accuracy, legality, and appropriateness of User Content you submit. You represent that you have all necessary rights and permissions to submit such content for processing
8AI Disclaimer — Not Legal Advice
This section is critically important for all users of the Services:
- No legal advice: The Services, including all AI Output, are professional tools designed to assist legal professionals in their work. Nothing provided by the Services constitutes legal advice, and no attorney-client relationship is created between Mowly and any user
- Professional responsibility: AI Output is generated by artificial intelligence and may contain errors, inaccuracies, or omissions. Legal professionals using the Services retain full professional responsibility for reviewing, verifying, and validating all AI Output before relying on it or presenting it to clients or courts
- No guarantee of accuracy: While we strive for the highest quality, Mowly cannot and does not guarantee the accuracy, completeness, or currency of AI Output, search results, or any content provided through the Services. Legal databases may not contain all available decisions or legislation
- Verification obligation: Users must independently verify all legal citations, case references, statutory provisions, and factual claims contained in AI Output against primary legal sources before use in professional practice
- Jurisdiction limitations: The Services primarily focus on Portuguese and European Union law. Coverage of other jurisdictions may be limited. Users must verify the applicability and currency of legal information for their specific jurisdiction
- AI limitations: AI systems can produce hallucinations (plausible but incorrect information), exhibit biases present in training data, and may not reflect the most recent legal developments. Users should exercise the same professional skepticism they would apply to any research tool
9Prohibited Conduct
You agree not to engage in any of the following prohibited activities when using the Services:
- Using the Services for any unlawful purpose or in violation of any applicable local, national, or international law or regulation
- Attempting to gain unauthorized access to any part of the Services, other users' accounts, or any systems or networks connected to the Services
- Using automated scripts, bots, crawlers, or other automated means to access the Services except through officially provided APIs
- Reselling, sublicensing, or commercially redistributing the Services or any content obtained through the Services without Mowly's express written consent
- Submitting content that infringes on any third party's intellectual property rights, trade secrets, or other proprietary rights
- Attempting to circumvent any usage limits, Credit restrictions, or security measures implemented in the Services
- Introducing malware, viruses, or any other harmful code into the Services or using the Services to distribute such code
- Impersonating any person or entity, or falsely stating or misrepresenting your affiliation with any person or entity
- Using AI Output in a manner that misrepresents it as being produced by a human legal professional without appropriate disclosure
- Interfering with or disrupting the Services or the servers and networks used to provide the Services
10Data Protection and Privacy
We take data protection seriously and process personal data in compliance with GDPR and applicable data protection laws in your jurisdiction:
- Our Privacy Policy (available at /legal/privacy) describes in detail how we collect, process, and protect your personal data. The Privacy Policy is incorporated into these Terms by reference
- Where Mowly processes personal data on your behalf (as a data processor), such processing is governed by our Data Processing Agreement (available at /legal/dpa), which forms part of these Terms
- You represent and warrant that you have obtained all necessary consents and legal bases required to submit personal data to the Services for processing, particularly when processing documents containing third-party personal data
- Mowly will promptly notify you of any data breach affecting your personal data in accordance with GDPR requirements and our Security Policy
11Confidentiality
Both parties agree to protect each other's Confidential Information:
- Each party will treat the other's Confidential Information with at least the same degree of care it uses to protect its own confidential information, and in no event less than a reasonable degree of care
- Confidential Information will only be used for the purposes of performing obligations under these Terms and will not be disclosed to third parties except as expressly permitted
- The obligation of confidentiality does not apply to information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was known to the receiving party prior to disclosure; (c) is independently developed without use of the disclosing party's Confidential Information; or (d) is rightfully received from a third party without restriction
- Given the sensitive nature of legal work, Mowly applies enhanced confidentiality protections to all User Content, including documents, communications, and AI interactions processed through the Services
12Warranties and Disclaimers
The following warranties and disclaimers apply to the Services:
- Mowly warrants that the Services will be provided with reasonable skill and care, in substantial conformity with the applicable documentation, and in compliance with applicable laws
- EXCEPT AS EXPRESSLY PROVIDED HEREIN, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
- Mowly does not warrant that the Services will be uninterrupted, error-free, or that defects will be corrected within any specific timeframe. We target 99.9% uptime but do not guarantee it contractually unless agreed in an Enterprise plan
- No oral or written information or advice given by Mowly or its representatives shall create a warranty not expressly stated in these Terms
13Limitation of Liability
To the maximum extent permitted by applicable law:
- IN NO EVENT SHALL MOWLY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES
- MOWLY'S TOTAL AGGREGATE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO MOWLY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED EUROS (€100)
- Mowly shall not be liable for any damages arising from: (a) your reliance on AI Output without independent verification; (b) the accuracy or completeness of search results or legal information; (c) your failure to maintain the security of your account credentials; or (d) force majeure events
- Nothing in these Terms excludes or limits liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot be excluded under applicable law
- You acknowledge that the limitations of liability in this section reflect a reasonable allocation of risk and are a fundamental element of the basis of the bargain between you and Mowly
14Indemnification
You agree to indemnify and hold harmless Mowly and its directors, officers, employees, and agents from and against:
- Any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Services in violation of these Terms or applicable law
- Any claims arising from User Content you submit, including but not limited to claims of intellectual property infringement, privacy violations, or defamation
- Any claims arising from your reliance on AI Output without appropriate professional review and verification, or from your failure to comply with your professional obligations
15Termination
These Terms may be terminated as follows:
- By you: You may terminate your account and these Terms at any time by canceling your Subscription through your account settings or by contacting support@mowly.ai. Termination will be effective at the end of the current billing period
- By Mowly: We may suspend or terminate your account immediately if you breach these Terms, engage in prohibited conduct, or fail to pay applicable fees. We may also terminate with 30 days' notice for any reason
- Effect of termination: Upon termination, your right to access the Services ceases immediately. We will retain your data for a period of 30 days following termination to allow for data export, after which it will be deleted in accordance with our Privacy Policy
- Data export: Prior to or within 30 days of termination, you may request an export of your data in a standard format by contacting support@mowly.ai. We will provide the export within 10 business days
- Survival: Sections relating to intellectual property, limitations of liability, indemnification, governing law, and confidentiality shall survive termination of these Terms
16Modifications to Terms
Mowly reserves the right to modify these Terms at any time. We will provide at least 30 days' advance notice of material changes via email and/or a prominent notice on the Platform. Your continued use of the Services after the changes take effect constitutes acceptance of the modified Terms. If you do not agree with any modification, you must stop using the Services and terminate your account before the changes take effect. Non-material changes (such as typographical corrections or clarifications) may be made without advance notice.
17Governing Law
These Terms are governed by the laws of the European Union and the laws of your country of residence:
- These Terms shall be governed by and construed in accordance with the laws of your country of residence, and where applicable, the directly applicable regulations of the European Union
- For users within the EU, nothing in these Terms affects your statutory rights under mandatory consumer protection laws of your country of residence
- Any mandatory provisions of EU law, including the GDPR and the EU AI Act, shall prevail over any conflicting provisions of these Terms
18Dispute Resolution
In the event of any dispute arising from or relating to these Terms:
- Negotiation: The parties shall first attempt to resolve any dispute through good faith negotiation within 30 days of written notice of the dispute
- Mediation: If negotiation is unsuccessful, the parties agree to attempt mediation before a certified mediator in your country of residence, before resorting to litigation
- Jurisdiction: The courts of your country of residence shall have jurisdiction over any dispute arising from these Terms that cannot be resolved through negotiation or mediation
- Class action waiver: To the extent permitted by law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action
19Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The remaining provisions shall continue in full force and effect. The invalidity of any provision in a particular jurisdiction shall not affect the validity of that provision in any other jurisdiction.
20Entire Agreement
These Terms, together with our Privacy Policy, Data Processing Agreement, Acceptable Use Policy, Cookie Policy, Security Policy, and AI Transparency Policy (all available at /legal), constitute the entire agreement between you and Mowly regarding the use of the Services. These Terms supersede any prior agreements, communications, or representations, whether oral or written. Any Enterprise agreements or order forms executed between you and Mowly shall prevail over these Terms to the extent of any conflict.
